The company PURPLE WAVE DISTRIBUTION (hereinafter: \u00abPURPLE WAVE DISTRIBUTION<\/span><\/b> \u00bb) sells cannabidiol flowers and leaves, as well as cannabidiol-based products (hereinafter: the \u00ab <\/span>Products<\/b> \u00bb) directed at companies and professional buyers (hereinafter: the \u00ab <\/span>Buyers<\/b> \u00bb), for the purpose of exploitation by them.<\/span><\/p>\n These General Terms and Conditions of Sale (hereinafter: the \u00ab <\/span>Terms and Conditions<\/b> \u00bb) apply without restriction or reserve to all sales of Products by to the Buyers. Their purpose is to define the terms and conditions of the sale and delivery of the Products, and to define the rights and obligations of the parties in this context.<\/span><\/p>\n These General Conditions constitute, together with the quote referred to in the article \u00ab <\/span>Product Order<\/span><\/i> \u00bb(hereinafter: the \u00ab <\/span>Quote<\/b> \u00bb) an inseparable contractual package (hereinafter: the \u00ab <\/span>Contract<\/b> \u00bbIn the event of any contradiction, the provisions of the Estimate shall prevail over the General Terms and Conditions. In the event of any contradiction between different Estimates, the most recent document shall prevail over the older ones.<\/span><\/p>\n The Contract shall prevail over any other general or specific conditions not expressly agreed by .<\/span><\/p>\n Any validation of a Quotation under the conditions set out in the article \u00ab <\/span>Product Order<\/span><\/i> \u00bb, hereinafter, implies full and unreserved acceptance of these General Conditions.<\/span><\/p>\n Any conditional acceptance shall be deemed null and void. The Buyer who does not agree to be bound by these General Conditions must not place an order with PURPLE WAVE DISTRIBUTION.<\/span><\/p>\n PURPLE WAVE DISTRIBUTION reserves the right to modify these General Terms and Conditions at any time. In this case, the applicable terms and conditions will be those sent to the Buyer with the Quotation.<\/span><\/p>\n The parties declare that they have had the time and opportunity to exchange between themselves all information, including that provided for in Article 1112-1 of the Civil Code, which governed the negotiation and conclusion of this Contract.<\/span><\/p>\n <\/b> The Buyer can view the Products offered for sale by PURPLE WAVE DISTRIBUTION on the latter's website, accessible at the address <\/span>www.grossiste2cbd.com<\/span><\/a> or by asking him to send a catalogue of his products via the following contact page: https:\/\/grossiste2cbd.com\/contact\/<\/a>\u00a0<\/span><\/p>\n The photographs and descriptions of the Products offered for sale are as accurate as possible. They are only binding with regard to what is precisely stated. However, the Buyer is informed and accepts that certain characteristics of the Products may not correspond exactly to the photographs presented on the Site, due to technical constraints.<\/span><\/p>\n The Buyer may place an order for the Products either by visiting the premises of PURPLE WAVE DISTRIBUTION, or by contacting PURPLE WAVE DISTRIBUTION by email or telephone, using the contact details provided in the header hereof.<\/span><\/p>\n Based on the information provided by the Buyer regarding the categories and quantity of Products they wish to order, PURPLE WAVE DISTRIBUTION will send them a Quote by email, including in particular a summary of the order, the price of the purchased Products, as well as the delivery location and foreseeable delivery times from the validation of the Quote, and a copy of these General Terms and Conditions.<\/span><\/p>\n Unless otherwise stated in the Quotation, the latter constitutes an offer of sale valid for 15 (fifteen) calendar days from the date of its dispatch. Failing validation by the Buyer within this period, the offer of sale shall become null and void. The Buyer wishing to accept the offer must therefore validate the Quotation within the aforementioned period, by any useful written means and in particular by returning the signed quotation. This validation shall result in the formation of the Contract.<\/span><\/p>\n Prior to validating the Quote, the Buyer may ask PURPLE WAVE DISTRIBUTION to send them product samples. These are then sent to the Buyer by regular post, accompanied by their tetrahydrocannabinol content test results.<\/span><\/p>\n For any order with a price equal to or greater than 5,000 (five thousand) euros excluding VAT, the Buyer is required to pay a deposit of 20 % (twenty per cent) of the price. The confirmation of the order by PURPLE WAVE DISTRIBUTION is conditional upon the payment of this deposit, under the conditions set out in the article entitled \u00ab <\/span>Price and payment terms<\/span><\/i> \u00bb.<\/span><\/p>\n When the Buyer has validated the Quote and, where applicable, paid the deposit, PURPLE WAVE DISTRIBUTION sends them an order confirmation email summarising the order details and containing the General Conditions in force on the day of the order, as well as, where applicable, the deposit invoice.<\/span><\/p>\n The Buyer must ensure that the contact details provided when placing their order are correct and that they enable them to receive the order confirmation email. If they do not receive it, the Buyer must contact PURPLE WAVE DISTRIBUTION using the contact details indicated at the top of these terms.<\/span><\/p>\n Once the order has been confirmed, the sale is considered firm and final. Consequently, no order may be cancelled after its confirmation.<\/span><\/p>\n Assuming that PURPLE WAVE DISTRIBUTION agrees to cancel an order, for any reason whatsoever except when it is due to a case of force majeure under the conditions set out in the article \u00ab <\/span>Force majeure<\/span><\/i> \u00bb, this cancellation will be subject to the following penalties:<\/span><\/p>\n In any event, for orders subject to the payment of a deposit, the amount corresponding to the deposit shall remain due to .<\/span><\/p>\n For a replenishment order, the Buyer must place a new order under the same terms and conditions as an initial stock order, as described above. PURPLE WAVE DISTRIBUTION undertakes to restock the Buyer as soon as possible, subject to having sufficient stock of Products to fulfil their replenishment order.<\/span><\/p>\n <\/b> Unless otherwise stated, the selling price of the ordered Products is quoted in euros and exclusive of tax in the Quote.<\/span><\/p>\n The price does not include transport, customs fees and insurance (hereinafter: the <\/span>Delivery charges<\/b> \u00bb), which remain the Buyer's responsibility and are also stated in the Quote.<\/span><\/p>\n However, PURPLE WAVE DISTRIBUTION may offer Buyers, as an option, a transport service for the ordered Products by a dedicated carrier. In addition, any order with a price equal to or greater than 20,000 (twenty thousand) euros excluding VAT includes the transport of the Products by a dedicated carrier.<\/span><\/p>\n PURPLE WAVE DISTRIBUTION reserves the right, at its sole discretion and under terms and conditions to be determined solely by it, to offer promotional offers or price reductions.<\/span><\/p>\n For any order with a price equal to or exceeding 5,000 (five thousand) euros excluding VAT, a first invoice corresponding to 20 % of this price is issued upon confirmation of the order and a second invoice corresponding to the balance of the price is issued upon delivery of the Products.<\/span><\/p>\n For orders with a price of less than 5,000 (five thousand) euros excluding VAT, PURPLE WAVE DISTRIBUTION shall send an invoice corresponding to the total price upon delivery of the Products.<\/span><\/p>\n Unless otherwise stated, invoices are sent by email and are payable within 15 (fifteen) days from the issue date.<\/span><\/p>\n Any delay in the payment of all or part of a sum due on its due date shall automatically entail, without prior formal notice: (i) the acceleration of the maturity of all sums owed by the Buyer and their immediate exigibility, (ii) the invoicing for the benefit of a late payment interest at the rate of 3 (three) times the French legal interest rate, based on the amount of all sums owed by the Buyer, in addition to a flat-rate indemnity of 40 (forty) euros for recovery costs.<\/span><\/p>\n <\/b> For Buyers who have requested it, PURPLE WAVE DISTRIBUTION can offer various delivery methods, depending on the categories of Products ordered, their weight and the desired delivery address. The Buyer is informed prior to confirming their order of the possible delivery methods for the Product ordered as well as the corresponding timeframes and costs for each of these methods.<\/span><\/p>\n The foreseeable delivery time for each order will be stated in the Quotation. The Buyer expressly agrees that this period is for guidance only, and liability cannot be incurred under any circumstances in the event of a delivery delay compared to the announced time.<\/span><\/p>\n PURPLE WAVE DISTRIBUTION shall bear all risks relating to the delivery of the Products, including the risks relating to the loading of the Products by the carrier.<\/span><\/p>\n Receipt of the Products is evidenced by the Buyer signing a delivery note given to the carrier. Failing this, delivery shall be deemed to have taken place on the delivery date indicated in the Quote, unless the Buyer notifies , in writing, within <\/span>48 (forty-eight) hours<\/span> following this date, that the Products have not been delivered to them.<\/span><\/p>\n Upon receipt of the Products, it is the Buyer's responsibility to check their apparent condition and, for Products that are cannabidiol flowers or leaves and, more generally, raw hemp plant extracts, that they have not undergone any drying process likely to have the effect of increasing their tetrahydrocannabinol content.<\/span><\/p>\n To this end, the Buyer must also weigh the received Products to verify that their weight is not less than 98 % (ninety-eight percent) of the weight indicated in the Quote, and send photographs of the results of the weighing operation by any useful means.<\/span><\/p>\n If the Buyer notes that certain delivered Products exhibit a lack of conformity, notably regarding the maximum tetrahydrocannabinol content imposed by current regulations, they must inform PURPLE WAVE DISTRIBUTION in writing at the latest within 7 (seven) calendar days from the delivery date, specifying the nature of the lack of conformity observed. Failing this, no subsequent claim shall be admissible.<\/span><\/p>\n PURPLE WAVE DISTRIBUTION shall arrange the return procedure with the carrier of its choice and shall inform the Buyer by any appropriate means. PURPLE WAVE DISTRIBUTION shall bear the costs of this return.<\/span><\/p>\n If the Products prove to be non-compliant after verification by PURPLE WAVE DISTRIBUTION, the latter shall offer the Buyer their replacement or refund depending on available stock.<\/span><\/p>\n However, Products that are cannabidiol flowers or leaves, raw hemp plant extracts or perishable products whose weight recorded upon receipt is less than 95 % of the weight stated in the Quotation will not be replaced. PURPLE WAVE DISTRIBUTION will refund them, provided that photographs of the weighing results demonstrate that their weight is less than the aforementioned percentage and that the verification of the products returned by the Buyer is deemed consistent with the descriptions provided during the claim.<\/span><\/p>\n The Products remain the property of PURPLE WAVE DISTRIBUTION until full payment of the entire order price (including Delivery Costs) has been received by PURPLE WAVE DISTRIBUTION. In the event of non-payment by the due date of any sum whatsoever owed by the Buyer, PURPLE WAVE DISTRIBUTION is entitled to repossess the delivered Products immediately and the Buyer is required to return them upon first request.<\/span><\/p>\n The exploitation and commercialisation of the Products shall be the sole responsibility of the Buyer, who shall freely determine the terms and conditions thereof, in particular financial ones, and shall conclude all contracts for this purpose with its resellers, distributors and\/or final customers (hereinafter jointly the \u00ab <\/span>Clients<\/b> \u00bb).<\/span><\/p>\n The Buyer shall also be solely responsible for any advertising or promotional campaigns that they may implement in connection with their exploitation of the Products. They undertake to ensure that such campaigns do not harm the brand image of and the Products.<\/span><\/p>\n The Buyer expressly acknowledges and agrees that no unsold Products will be taken back.<\/span><\/p>\n The Buyer expressly acknowledges and agrees:<\/span><\/p>\n PURPLE WAVE DISTRIBUTION may transmit these data and information to the Purchaser upon request.<\/span><\/p>\n In particular, it undertakes to inform the Buyer of any foreseeable difficulty, notably regarding the availability and delivery of the Products.<\/span><\/p>\n More generally, PURPLE WAVE DISTRIBUTION undertakes to cooperate actively with the Distributor with a view to the proper performance of this contract.<\/span><\/p>\n It guarantees in particular that the Products sold and delivered to the Buyer have been analysed by an approved laboratory and contain a tetrahydrocannabinol level lower than the maximum level required by law.<\/span><\/p>\n However, PURPLE WAVE DISTRIBUTION provides no guarantee regarding the conformity of the Products with the laws and regulations in force after their delivery to the Buyer. Once the Buyer has taken delivery of the Products, under the conditions set out in the article \u00ab <\/span>Delivery and receipt of products<\/span><\/i> \u00bb, he shall be solely responsible for such compliance, which the Buyer expressly acknowledges and accepts.<\/span><\/p>\n More generally, PURPLE WAVE DISTRIBUTION cannot be held liable for any damage not originating from a defect in the Products, in particular any act attributable to the Buyer.<\/span><\/p>\n Il s\u2019engage notamment \u00e0 informer de toute plainte, demande, r\u00e9clamation ou grief de la part des Clients en relation avec leur utilisation des Produits et plus g\u00e9n\u00e9ralement, de tout diff\u00e9rend ou toute difficult\u00e9 qu\u2019il pourrait rencontrer lors de son exploitation des Produits.<\/span><\/p>\n Plus g\u00e9n\u00e9ralement, l\u2019Acheteur s\u2019engage \u00e0 coop\u00e9rer activement avec PURPLE WAVE DISTRIBUTION en vue de la bonne ex\u00e9cution du Contrat.<\/span><\/p>\n L\u2019Acheteur est seul responsable du bon accomplissement de toutes les formalit\u00e9s notamment administratives, fiscales et\/ ou sociales et de tous les paiements de cotisations, taxes ou imp\u00f4ts de toutes natures qui lui incombent le cas \u00e9ch\u00e9ant en relation avec la commande des Produits et leur exploitation apr\u00e8s achat.
